Marketplace Liability Terms

Template notice: DockSpare is a demonstration platform. This document is a template for illustrative purposes and does not constitute legal advice. Marketplace liability allocation is highly jurisdiction- and industry-specific (particularly for maritime supply and provisioning) — have it reviewed by a qualified attorney, ideally with maritime commerce experience, before relying on it.

1. DockSpare's Role

DockSpare operates a marketplace platform that lets Yacht Users discover Suppliers, request quotes, and place orders. DockSpare is not the seller, buyer, carrier, or insurer of any goods or services listed or transacted through the Platform, and is not a party to the contract formed between a Yacht User and a Supplier when an Order is accepted. That contract exists solely between those two users, who are each independent of DockSpare.

2. No Guarantee of Conduct or Quality

We do not control, and make no representation or warranty regarding: the quality, safety, legality, or fitness for purpose of any goods or services listed; a Supplier's ability to fulfil an Order or the accuracy of their stated capabilities, certifications, or stock; a Yacht User's ability or intention to pay for goods or services ordered; or the accuracy of any listing, message, review, or document exchanged between users.

3. What "Verified" Means

The Platform uses two distinct indicators that both use the word "verified," and it is important to understand what each one does and does not confirm:

Account verification (shown as a pending-verification notice until cleared) confirms only that DockSpare has completed a basic check on the account before allowing it to transact. It does not confirm the identity, creditworthiness, licensing, insurance, or trustworthiness of the account holder.
The "Verified" badge on a Supplier's storefront indicates DockSpare has reviewed basic business details the Supplier provided. It is not a certification of the quality of their goods or services, their financial stability, or a guarantee that any transaction with them will be satisfactory.

Yacht Users and Suppliers are each responsible for conducting their own due diligence — including checking references, certifications, insurance, and licensing appropriate to the goods or services involved — before entering into a transaction.

4. Pricing, Quotes & Payment

Prices, quotes, and offers displayed on the Platform are set by Suppliers, not DockSpare, and DockSpare does not verify their accuracy or that a Supplier will honor a quoted price. Payment terms, methods, and settlement for any Order are arranged directly between the Yacht User and the Supplier; DockSpare does not currently process, hold, or guarantee any payment made in connection with an Order. Both parties are responsible for agreeing on payment terms they are each comfortable with before goods or services are exchanged.

5. Delivery & Fulfilment Risk

Delivery logistics, timing, berth/port access, and on-site handling are arranged directly between the Yacht User and the Supplier using the delivery details provided in the Order or RFQ. DockSpare is not responsible for delayed, incomplete, damaged, or failed deliveries, or for the accuracy of delivery instructions provided by either party.

6. Disputes Between Users

Any dispute regarding the quality, timeliness, pricing, or fulfilment of an Order is between the Yacht User and the Supplier involved. DockSpare has no obligation to mediate, arbitrate, or resolve such disputes, though we may, at our sole discretion, assist with information available on the Platform (such as message history on the relevant order) to help the parties resolve a dispute themselves.

7. Disclaimer of Warranties

To the maximum extent permitted by law, DockSpare disclaims all warranties, express or implied, in connection with any transaction facilitated through the Platform, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement relating to goods or services provided by a Supplier.

8. Limitation of Liability

To the maximum extent permitted by law, DockSpare is not liable for any loss or damage arising from a transaction between a Yacht User and a Supplier, including non-delivery, defective goods, delay, non-payment, or any indirect, incidental, or consequential loss (such as lost profits, vessel downtime, or charter cancellation), even if DockSpare has been advised of the possibility of such loss. This is in addition to, and does not replace, the general limitation of liability in our Terms of Service.

9. Indemnification

You agree to indemnify DockSpare against any claim brought by another user, or a third party, arising from a transaction you entered into through the Platform, including claims relating to the goods or services you supplied or received.

10. Force Majeure

Neither DockSpare nor any user is responsible for delay or failure to perform caused by events beyond reasonable control, including severe weather, port closures, customs delays, strikes, or other circumstances typical of maritime supply chains.

11. Insurance

DockSpare does not provide insurance covering goods, services, deliveries, or transactions conducted through the Platform. Suppliers and Yacht Users are each responsible for maintaining insurance appropriate to their own business or vessel operations.

12. Governing Law

These Marketplace Liability Terms are governed by the laws of Malta, consistent with our Terms of Service, and form part of the agreement between you and DockSpare.
