Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the DockSpare platform (the "Platform"), operated by DockSpare Ltd. ("DockSpare", "we", "us"). By creating an account or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy, and our Marketplace Liability Terms. If you do not agree, do not use the Platform.
Depending on your account type, our Buyer Terms (Yacht Users) or Seller Terms (Suppliers) also form part of your agreement with us, as do our Subscription & Billing Terms if you use a paid subscription tier.
2. Definitions
- "Yacht User" — an account representing a vessel, its owner, or its crew, used to browse suppliers and request or place orders.
- "Supplier" — an account representing a business offering goods or services to Yacht Users through the Platform.
- "Order" — a direct purchase request made by a Yacht User to a single Supplier.
- "RFQ" — a Request for Quote sent by a Yacht User to one or more Suppliers for the same set of items.
- "Listing" — a product, service, or catalog entry published by a Supplier.
- "Team Member" — an additional person invited to share access to a Yacht User's or Supplier's account, up to that account's subscription tier's team-seat limit.
- "Subscription Tier" — the plan (Free, Pro, Premium, and, depending on account type, Fleet or Enterprise) an account is on, which determines its usage limits and available features. See our Subscription & Billing Terms.
3. Eligibility & Accounts
You must be at least 18 years old and capable of forming a binding contract to register. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account.
You may register as a Yacht User or a Supplier. Each account type has access to different tools appropriate to that role, and you agree to use the Platform only in the capacity you registered for.
4. Verification
New accounts are placed in a pending verification state and cannot send RFQs, place Orders, or submit quotes until DockSpare verifies the account. Verification confirms basic account legitimacy; it is not a certification of a Supplier's business quality, licensing, insurance, or a Yacht User's creditworthiness. See our Marketplace Liability Terms for what "Verified" does and does not mean.
We may revoke verification, or suspend an account, at our discretion if we believe the information provided was false, misleading, or if the account is used in violation of these Terms.
5. Acceptable Use
You agree not to:
- Provide false information during registration or when listing products, services, vessels, or orders;
- Use the Platform to circumvent it — for example, contacting a counterparty found through DockSpare to complete a transaction entirely outside the Platform in order to avoid fees, once fees are introduced;
- Upload content that is unlawful, infringing, fraudulent, or that you do not have the right to share (including offer documents, images, or reviews);
- Attempt to access another user's account, data, or an order you are not a party to;
- Interfere with the normal operation of the Platform, including through scraping, reverse engineering, or introducing malicious code;
- Use the Platform for any purpose that is illegal in your jurisdiction or the jurisdiction of the counterparty.
6. Our Role as a Marketplace
DockSpare provides the technology that connects Yacht Users and Suppliers. We are not a party to any Order or RFQ transacted through the Platform, and we do not manufacture, supply, inspect, or deliver any goods or services listed. Full detail on how this affects liability, disputes, and payments between users is set out in our Marketplace Liability Terms, which forms part of these Terms.
An account may share access with Team Members, and a Supplier on an eligible tier may purchase a paid "featured placement" ranking boost — see our Subscription & Billing Terms. Neither changes DockSpare's role: we remain a technology provider connecting users, not a party to what they agree between themselves, and featured placement affects ranking only, never the "Verified" badge or any other indicator of business legitimacy.
7. Fees
DockSpare does not currently charge a transaction or commission fee on any Order or RFQ. Optional paid subscription tiers and add-ons exist and are described in our Subscription & Billing Terms, though as of the date above they cannot yet be purchased and no account is currently charged anything. If we introduce a transaction fee, or make paid tiers purchasable, we will provide reasonable notice before either applies to you, and continued use of the Platform after that notice constitutes acceptance of the updated fee terms.
8. Content & Intellectual Property
You retain ownership of the content you submit (product listings, images, messages, reviews). By submitting it, you grant DockSpare a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate the Platform — for example, showing a Supplier's product photo to a Yacht User browsing the marketplace.
The DockSpare name, logo, and platform software are the property of DockSpare Ltd. and may not be used without our prior written consent.
9. Suspension & Termination
You may request deletion of your account at any time from your profile. Requests are reviewed and actioned by an administrator; your data is archived pending that review rather than deleted immediately, so that in-progress Orders can be resolved.
We may suspend or terminate any account, at our discretion, for violation of these Terms, suspected fraud, or extended inactivity, with notice where reasonably possible.
10. Disclaimers & Limitation of Liability
The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. We do not guarantee the Platform will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, DockSpare's total liability for any claim arising from your use of the Platform will not exceed the greater of (a) the fees you paid to DockSpare in the twelve months preceding the claim, or (b) €100. This limitation does not apply to liability that cannot be excluded under applicable law (for example, liability for gross negligence, willful misconduct, or death or personal injury caused by our negligence).
11. Indemnification
You agree to indemnify and hold DockSpare harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your content, or your use of the Platform, including any transaction with another user conducted through it.
12. Governing Law & Disputes
These Terms are governed by the laws of Malta, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Platform that cannot be resolved informally will be submitted to the exclusive jurisdiction of the courts of Malta, except where mandatory consumer-protection law in your home country requires otherwise.
13. Changes to These Terms
We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide additional notice (such as an in-app banner). Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
